Those of us who utilize the Internet to conduct business understand the importance of having formal agreements in place between each of us individually and our service providers. We greatly appreciate the relationship we have with you through our Business Online Banking Services. If you wish to make payments from your qualifying business deposit account(s), those payment transactions will be governed by the terms and conditions of the Bill Pay Service and not this Agreement. Occasionally, we make changes to improve how we provide Business Online Banking Services and the changes require that we amend the agreement between us.


By using, visiting, or browsing our Business Online Banking Services you accept and agree to be bound by the terms within our Agreement. The most current version of the Agreement will supersede all previous versions. We encourage you to read the entire Business Online Banking agreement. Within the Business Online Banking Agreement the words "we", "us", "our" or "Bank" means Park National Corporation (Park). Park's Ohio based banking operations are conducted through Park subsidiary The Park National Bank and its divisions which include Century National Bank, Fairfield National Bank, Farmers and Savings Bank, First-Knox National Bank, Richland Bank, Second National Bank, Security National Bank, The Park National Bank of Southwest Ohio & Northern Kentucky, United Bank, and Unity National Bank. Park also includes Scope Leasing, Inc. (d.b.a Scope Aircraft Finance), Guardian Finance Company and Park Title Agency. "You" and "your" refer to the account holder and "account" or "accounts" means your business accounts at the Bank. The Business Online Banking Agreement (the "Agreement") provides information regarding the Bank's Business Online Banking Services. This Agreement is the contract between you and the Bank and you should read this Agreement carefully prior to accepting the Agreement. You may print a copy of the Agreement to keep with your other important account records and for future reference.

Except as otherwise required by law, rule, or regulation, the Bank may change the terms and conditions of this Agreement at any time. When changes are made to the Agreement they will be made at the Web site. Changes will be effective the date the Web site is updated unless the law, rule, or regulation requires advanced notice, in which case the change will be effective in accordance with the law, rule, or regulation.

This Agreement does not supersede Corporate Resolutions, Signature Card, Terms and Conditions of your Business Account, Business Account Disclosures, ACH Origination Agreement, Funds Transfer Agreement, or any other Agreements Company may have with the Bank. All Business Account Agreements and Rules now or hereafter governing Company's accounts will remain in full force and effect after the execution of this Agreement. Company shall access only accounts at the Bank held for business purposes, and will not request access to any business account that is held primarily for personal, family, household or other consumer purposes.

Company will complete and provide the Bank a Business Online Banking Access Request form signed by an authorized Company Representative, who has been designated on the Corporate Resolution on file with the Bank to have such authority. By signing the Business Online Banking Access Request form, the Authorized Company Representative is authorizing any individual(s) who are not authorized on the Company's Corporate Resolution and/or Signature Card(s) to perform the functions as indicated on the Business Online Banking Access Request form. Authorization shall coincide with most current Corporate Resolution on file with the Bank. Company shall be responsible for amending the Business Online Banking Access Request form by written notice to the Bank at the address located at the top of the form, immediately if the access of an authorized Company Representative(s) changes. Company hereby authorizes the Bank to rely upon the Business Online Banking Access Request form on file until such time as it is amended by the Company.

Except as specifically provided in this Agreement or where the law requires different standards, Company agrees that neither the Bank nor its' service providers shall be responsible for any losses. Losses include profits or data, property damage or bodily injury; whether caused by the equipment, software, the Bank, Internet access providers, Online service providers, or an agent or subcontractor of any of the foregoing. Nor shall the Bank, or the service providers, be responsible for any direct, indirect, special or consequential, economic or other damages arising in any way out of the installation, use or maintenance of the equipment, software, online services, Internet, or access thereof.

Your liability for an unauthorized withdrawal, transfer, or series of related unauthorized withdrawals or transfers, is detailed in the Questions or Error Resolution section.

Company may terminate this Agreement by submitting a request in writing on Company letterhead or a Business Online Banking Access Request form to the address located at the top of the form. The Bank will complete the maintenance request and provide an acknowledgement to the Company, if requested by the Company.

Each open and active Business Checking, Savings, Certificate of Deposit or Loan account is eligible to be accessed through Business Online Banking.


Accounts The term "Accounts" means any Business Checking, Savings, Certificate of Deposit or Loan account at the Bank and that was listed on Business Online Banking Access Request form.


Deposit Account The term "Deposit Account" means Business Checking, Savings or Certificate of Deposit account at the Bank which is used for business purposes.


Loan Account The term "Loan Account" means a Business Loan or Line of Credit at the Bank which was obtained for business purposes.

Stop Payments Company may initiate a stop payment on a single item or a range of items and may review the stop payment status of previously initiated item(s). The Bank is only responsible for items stopped exactly as described and will exercise reasonable care and efforts to comply with the stop payment request. The Bank shall not be liable should such item(s) be paid or cashed on or prior to the date and time of the stop payment request. The Bank shall provide Company with an online confirmation of any stop payment request initiated through Business Online Banking. Stop payment request(s) initiated through Business Online Banking shall be deemed authorized, unless the Bank receives a written request to withdraw the electronically initiated stop payment, from the Company, prior to the Bank returning the item. Company understands that the stop payment is in effect for six months from the effective date listed on the online confirmation, and the Company must make written renewals if it wishes to extend the stop payment(s) beyond the six month expiration date.


Automated Clearing House (ACH) Origination Company may originate transfers from business accounts to external recipients and from external sources to business accounts at the Bank, in accordance with an ACH Origination Agreement with the Bank.


Wire Requests Company may request wire transfers from business accounts to external recipients in accordance with the Bank's Wire Transfer Policy and Funds Transfer Agreement.


Maintenance Requests Company may request additions or deletions to its' business accounts, Authorized Users, and Transfers by printing and completing the Business Online Banking Access Request form.

To access Company's Eligible Business Accounts, Company will be required to complete a Business Online Banking Access Request form. Please print, sign, and return the form to a Bank branch or send it to the address located at the top of the form. The Bank will send Company's Authorized User(s) a letter by secure email with initial Access ID, Password and enrollment instructions. Once enrolled, User(s) will be prompted to change their password. Immediately following the changing of their password, Company Authorized Users will be able to access information or initiate Fund Transfer Requests.

Security Tokens may be used for an additional security precaution for certain products and transactions.

The best way to prevent misuse of your Company's business accounts is to protect confidential information, including Company account numbers and passwords. In addition, it is essential that the Bank is notified as quickly as possible if Company believes someone has gained access to Company's confidential information. If this situation develops, contact us IMMEDIATELY and inform us of the specifics of the situation on Company letterhead.

Any computer virus or related technology or software problems that may occur with your computer are your responsibility. The Bank recommends that you routinely scan your computer and related media using a reliable virus detection product. Company agrees to pay a monthly service charge for its use of Business Online Banking when applicable. All charges will be assessed in accordance with the Business Online Banking Fee Schedule, and as amended from time to time. All service charges for Company's use of Business Online Banking are in addition to any normal service charges which apply to Company's accounts. The Bank reserves the right to service charge Company's accounts for any service charge. Company shall be responsible for any deficiency.

One method of communicating with the Bank is through the Internet e-mail system. This method is very effective for the request of additional information, questions, comments and other miscellaneous correspondence. HOWEVER, E-MAIL IS NOT A SECURE METHOD OF COMMUNICATION. CONFIDENTIAL INFORMATION SHOULD NOT BE E-MAILED OVER THE INTERNET. The Bank takes no responsibility for any error in, delay, or non-receipt of any electronic mail message. The Bank may use "Secure", password protected email to communicate with you and you may use the "Secure Reply" option to send confidential information to the Bank.

The Bank will endeavor to make customer support available during normal business hours. Please contact us for assistance with any problems or questions you may have.

  • Remote Support

The Bank has established an Agreement with a Third-Party vendor, Bomgar, to provide remote support to our online customers who may need help with their online banking access. By using Bomgar, the Bank can provide safe and secure remote support.


Each time a remote session is requested by our online banking customer(s), he/she will be asked to read and accept the Bomgar Waiver Agreement before services are rendered. Contact Us for more details.


The Bank reserves the right to amend or cancel this service in whole or in part at its sole discretion for any reason without prior notification.


Inactive Business Online Banking Employees, Users and Accounts will be removed from the Bank's Business Online Banking system after 6 months of inactivity. User access may be reinstated by completing a new Business Online Banking Access Request form.


Account holders agree to indemnify and hold harmless the Bank, its directors, officers, employees, and agents from any loss, liability, claims, demands, judgments, and expenses arising out of, or in any way connected with, such cancellation. Termination by either party does not relieve Company of its responsibility for service charges accrued prior to termination.

Except as otherwise required by law, rule, or regulation, the Bank may change the terms and conditions of this Agreement, as well as any charges or fees at any time. When changes are made the Bank will update this Agreement at the Web site. The Web site will be updated on the effective date, unless an immediate change is necessary to maintain the security of the system, or unless a law, rule, or regulation requires that it be updated at an earlier time.

At all times your user ID and password should be secured and kept confidential. Contact the Bank AT ONCE if you believe Company Access ID and/or Password have been lost or stolen. Telephoning is the best way of keeping your possible losses to a minimum. Company is responsible for all transactions conducted by Users with whom the Access ID and Password have been or may have been authorized or unauthorized. Except as otherwise set forth in this Agreement, Company assumes all risks and costs arising out of communications to or from Company, or transactions involving Company's accounts initiated through the use of Business Online Banking. The Bank shall be entitled to presume conclusively that any communication or access to Company's accounts, initiated through the use of Company's password, have been authorized by Company.
